Introduction and Acceptance of Terms
This Terms of Service ("Terms") is a legally binding agreement between Slim Wellness Center LLC (referred to as "Slim Wellness Center," "we," "us," or "our") and you (the individual using our services or website). These Terms govern your access to and use of the Slim Wellness Center website (https://slimwellnesscenter.com), our online telehealth services, and our in-person clinical services at our physical location. By accessing our website, booking an appointment, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must refrain from using our website and services.
Scope of Services: Slim Wellness Center is a medical clinic providing weight loss, wellness, and related healthcare services through both online (telehealth) platforms and an in-person clinic. These Terms apply to all forms of service delivery, including consultations via telehealth and treatments performed at our clinic. Additional specific consents or agreements may be required for certain services (for example, telehealth informed consent or procedure-specific consent forms), but this document covers the general terms and conditions of use.
Geographic Scope of Telemedicine Services: Slim Wellness Center currently provides telemedicine services to residents of CA, NV, TX, FL, AZ, CO, UT, WA, OR, and ID. We do not provide telemedicine in Alaska, New Jersey, Mississippi, or any other state not listed above. This section will be updated if our licensure changes.
Eligibility (18+ Only)
Our services are intended for use by adults 18 years of age or older. By using our website or services, you represent and warrant that you are at least eighteen (18) years old. We do not knowingly provide services to minors or allow individuals under 18 to create accounts or receive clinical services. If you are a parent or guardian seeking services for a minor, please contact us directly; however, note that weight loss and wellness treatments at Slim Wellness Center are only offered to adults. You also represent that any information you provide to us is truthful and accurate, and that you have the legal authority to agree to these Terms.
Patient Accounts and Patient Portal Access
In order to use certain services, such as accessing your health records or telehealth consultations, you may need to create a patient account or use a patient portal through our electronic medical records (EMR) system. You are responsible for maintaining the confidentiality of your account credentials (such as usernames, passwords, or other login information) and for all activities that occur under your account. You agree to: (a) provide accurate, current, and complete information when creating an account; (b) promptly update your account information as needed to keep it accurate; and (c) immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
Access to the patient portal is provided for your convenience to review personal health information, schedule appointments, and communicate with our providers in a secure manner. You agree to use the patient portal only for lawful purposes and in accordance with any portal instructions or policies. We reserve the right to suspend or terminate your portal access if we suspect any unauthorized or improper use.
Appointment Scheduling and Patient Obligations
When you schedule an appointment (whether online, by phone, or in person) with Slim Wellness Center, you agree to the following appointment policies and patient obligations:
● Accurate Information: You will provide complete and truthful information during booking and during your visits (including medical history, current medications, and personal details). This ensures we can provide safe and effective care. If any information changes, you will promptly inform us.
● Appointment Confirmation: You may receive confirmations or reminders via the contact information you provide. It is your responsibility to attend all scheduled appointments on time. For telehealth visits, you must ensure you have a stable internet connection and a private environment for your consultation.
● Cancellation and Rescheduling: If you need to cancel or reschedule an appointment, please do so with adequate advance notice (generally at least 24 hours prior to your appointment). Late cancellations or no-shows may be subject to a cancellation fee or loss of any deposit, as permitted by law and our policies. We reserve the right to refuse service or require prepayment for future appointments if you repeatedly miss appointments without proper notice.
● Compliance with Treatment Plans: You agree to follow instructions given by our healthcare providers, including pre-treatment and post-treatment care plans. You are responsible for using medications as prescribed and for adhering to recommended lifestyle or dietary guidelines as part of your treatment. If you experience any adverse reaction or have concerns, you will contact us or seek appropriate medical attention.
● Conduct and Respect: You will treat our staff and providers with respect. Abusive, harassing, or inappropriate behavior (in communications, during visits, or on our online platforms) will not be tolerated and may result in termination of the provider-patient relationship or denial of future services.
● No Emergency Services: You understand that Slim Wellness Center does not provide emergency medical services. For any medical emergency or urgent condition that is life-threatening or requires immediate care, call 911 or go to the nearest emergency room. Our clinic and telehealth services are by appointment only and focus on wellness and elective treatments, not acute emergency care.
By booking and attending appointments, you also agree to sign any required forms or consents necessary for your treatment (such as informed consent for treatment, telehealth consent, or HIPAA acknowledgment). Failure to complete required documentation may result in postponement or cancellation of your appointment.
Payment Terms and Billing
Slim Wellness Center is a cash-based clinic. This means we do not bill or accept payment from health insurance providers (including private insurance, Medicare, or Medicaid) for our services. Payment for all services is due at the time of service (or in advance, for certain bookings or subscriptions), and is the responsibility of the patient regardless of any insurance coverage you may have.
● Accepted Payment Methods: We accept direct payment from patients via cash, credit/debit card, or other payment methods as indicated by our clinic. By providing a payment method, you represent that you are authorized to use it and you authorize us to charge the total amount of fees to that method.
● No Insurance Billing: Since we do not bill insurance, any interaction with your health insurance for reimbursement is solely between you and your insurer. As a courtesy, we will provide you with receipts or documentation (e.g., superbills) that you may submit to your insurance or Health Savings Account (HSA)/Flexible Spending Account (FSA) for possible reimbursement. However, Slim Wellness Center makes no guarantee that your insurance will reimburse you for our services or that any particular service is covered. Your insurance policy is a contract between you and your insurance company; you remain responsible for payment in full to Slim Wellness Center regardless of insurance outcomes.
● Pricing and Changes: The fees for our services (including consultations, treatments, and products) will be communicated to you in advance, either through our website or at the time of booking. We reserve the right to modify our pricing or introduce new fees for future services. If prices change, we will endeavor to update our website or inform you before you incur any new charges. All prices are listed in U.S. dollars and, unless stated otherwise, do not include any taxes; if any sales or use tax applies to your purchase, you are responsible for paying those taxes.
● Third-Party Financing: We may offer links or information about third-party financing options (for example, payment plan providers or medical credit services) to help you pay for services. If you choose to use such an option, your agreement and payment obligations will be with that third-party under their terms. Slim Wellness Center is not a party to those agreements and is not responsible for the terms or decisions of third-party financiers.
Outstanding Balances: If you have an outstanding balance owed to Slim Wellness Center, we reserve the right to delay or refuse scheduling of additional services until the balance is paid. We may also utilize third-party collection services for long overdue accounts, in accordance with applicable laws. You agree to pay all costs of collection, including reasonable attorney's fees, if your account is sent to collections due to non-payment.
Refunds, Returns, and Cancellation Policy
Our goal is to ensure patient satisfaction, but as a medical clinic, we operate under strict regulatory standards and cannot accept returns or offer refunds in many cases. This section outlines our refund, return, and cancellation policies:
General No-Refund Policy: Except as expressly provided below, all sales of services and products are final. Medical services that have been provided (such as consultations, treatments, or training sessions) are not refundable. Once a service is rendered, the professional fees and costs associated with that service are earned and cannot be refunded. Similarly, prescription medications, once prescribed or dispensed to you, cannot be returned or refunded (this is both for safety reasons and legal compliance).
We also do not offer refunds in cases where you have an outstanding balance or pending charges, or if you have upcoming scheduled services that you intend to use. Additionally, services or treatment packages you purchase are not transferable to other individuals or other clinics. They are intended only for the patient who originally purchased or for whom the service was prescribed.
Items Eligible for Replacement: In general, Slim Wellness Center will not issue cash refundsfor products, but we will replace items in the following limited circumstances:
● Recalled Products: If a product we provided to you is subject to a manufacturer or clinic recall for safety or quality issues, we will replace the recalled product or, if replacement is not feasible, issue a credit or refund at our discretion. We will also provide instructions on how to safely return or dispose of the recalled item and will cover any reasonable out-of-pocket costs you incur in complying with the recall (such as shipping the item back to us).
● Incorrect Shipments: If you receive a product that you did not order or the wrong item due to our error, notify us promptly. We will provide instructions to return the incorrect item (at our expense) and will send you the correct product as soon as possible.
● Damaged in Transit: If a product you purchased from us arrives damaged due to the shipping carrier or packaging, please contact us within seven (7) days of receiving the shipment. We may ask for descriptions or photos of the damage for our records. For approved cases, we will replace the damaged product at no additional charge. (Note: Damage or loss caused by the shipping carrier will generally be addressed by replacing the item; cash refunds for such issues will not be provided.)
In the above situations, replacements will be provided as the remedy (not refunds), unless we determine in our sole discretion that a refund or credit is appropriate. Refunds of less than $25.00 will not be processed; minor amounts may instead be issued as credit toward future services or purchases.
Non-Returnable and Non-Refundable Items/Services: The following items and services cannot be returned or refunded under any circumstances:
● Medical Services Performed: This includes any consultations, examinations, procedures, or training sessions that have already been provided to you. (If an initial training session for a treatment or product is not successful, Slim Wellness Center will provide additional training sessions at no extra cost until you are adequately trained. However, the cost of the initial session remains non-refundable.)
● Prescription Medications: Any prescription medication that has been prescribed by our providers or dispensed to you (including compounded medications, injections, etc.) is not eligible for return or refund, due to health regulations and safety concerns.
● Opened or Used Products: Any wellness products, medical supplies, or supplements that have been opened, used, or not in their original sealed and intact condition (for example, products with broken seals, missing labels, or repackaged items) cannot be returned or refunded.
● Products Not Purchased from Us: If you send us any product that was not originally purchased from Slim Wellness Center (for example, attempting to return a similar product purchased elsewhere), we will not accept it. We reserve the right to dispose of such items and you may be responsible for any costs incurred by us in handling or disposing of a product that was not sold by us.
● Improperly Stored Products: Products that were properly sold by us but have been mishandled, improperly stored (e.g., not refrigerated if required), or damaged while in your possession are not eligible for return/refund.
Return Process: If you believe you are eligible for a return or replacement under our policy (e.g., you have a recalled, incorrect, or damaged-in-transit product):
1. Contact Us Promptly: You must notify us within 7 days of receiving the product (or of the recall notice) by contacting our office at (619) 765-4141 or via email (if an email is provided for returns) to explain the issue. Include your name, contact information, a description of the product, and the issue (recall, wrong item, or damage).
2. Follow Return Instructions: We will provide you with instructions on how and where to return the product, if a return is required. In most cases, returns should be mailed to our clinic address (Slim Wellness Center, 655 Euclid Ave #210, National City, CA 91950) via USPS or another traceable method. We may provide a return shipping label for recalled, incorrect, or damaged items. Please securely package any item you are returning.
3. Replacement or Resolution: Once we receive the returned item (if we require its return) and verify the issue, we will process a replacement shipment or other resolution (such as issuing a credit). Replacement products are typically shipped within seven (7) business days after we receive and approve the return. We will notify you of the status and resolution of your case.
Please note that submitting a product to us for return or replacement does not guarantee that a refund or replacement will be issued. We reserve the right to determine, in our sole discretion, whether an item meets the criteria of our policy. Any items returned that do not meet our criteria (for example, a product returned outside the allowed timeframe or a non-returnable item) will not be refunded, and we may either return it to you at your expense or dispose of it.
Subscription Services and Cancellation: Slim Wellness Center may offer subscription-based services (for example, a monthly medication plan or recurring shipment of weight-loss medications or supplements). If you enroll in a subscription or membership program with recurring charges:
● Your subscription will auto-renew and you will be charged on a recurring basis (e.g., monthly) as disclosed at the time of enrollment.
● Cancellation Policy for Subscriptions: You may cancel a subscription service by providing us written notice at least 30 days before the next billing date or shipment date. Cancellation requests must be sent in writing (for example, via email to the contact address provided below or via certified mail to our clinic address). If you fail to notify us at least 30 days in advance, the next scheduled payment and shipment may be processed, and that charge will not be refundable. After timely cancellation, we will cease future recurring charges. (For example, if your monthly subscription renewal is on the 1st of each month, you must notify us by the 1st of the prior month to avoid being charged for the next cycle.)
● We reserve the right to terminate or not renew your subscription if payments are not made on time or if we discontinue the subscription program. We will notify you of any such termination in advance when feasible.
Chargebacks and Payment Disputes: By using our services and providing a payment method, you agree to honor the charges and fees incurred in accordance with our policies. You agree not to initiate a chargeback or payment card dispute for services or products provided. If you are dissatisfied with a charge or believe there has been an error, you agree to contact Slim Wellness Center first and allow us the opportunity to resolve the issue. Unauthorized chargebacks or disputes that violate this policy will be contested by us. We reserve the right to provide your card issuer or bank with documentation, including these Terms and any signed agreements or proof of service, to demonstrate that the charges were authorized and that you agreed to our no-refund policy. Any fees or costs incurred by us due to improper chargebacks may be added to your account balance.
Telehealth Services and Consent
Slim Wellness Center offers telehealth (telemedicine) services to allow patients to consult with our medical providers remotely. By using our telehealth services, you acknowledge and agree to the following:
● Licensing and Location: Our telehealth services are available only to individuals who are physically located in jurisdictions where our providers are licensed to practice. When scheduling a telehealth appointment, you may be asked to verify your current location. You agree to provide truthful information about your location. If you are not in a covered state or area, we cannot legally provide telehealth services to you, and your appointment may be canceled.
● Technology Requirements: You are responsible for having the necessary equipment (e.g., smartphone or computer, webcam, microphone) and internet connectivity to participate in a telehealth appointment. We are not liable for any inability to provide services due to technical failures on your end (such as poor internet connection, device issues, etc.).
● Telehealth Informed Consent: Telehealth has both benefits (convenience, access to care) and limitations (for example, the provider cannot perform a physical examination through a screen and relies on you to provide accurate information about your condition). By engaging in a telehealth visit, you consent to receive healthcare services via electronic communications. You acknowledge that:
○ The provider will rely on information you provide during the consultation to make assessments and recommendations, and that the absence of an in-person examination may limit the provider’s ability to diagnose conditions.
○ There are potential risks to telehealth, including delays or errors due to technological issues, unauthorized access despite security measures, or, rarely, miscommunication.
○ If the telehealth provider determines that your issue cannot be adequately addressed remotely, you may be advised to seek in-person care (either at our clinic or with another appropriate provider). You agree to follow such advice if given.
● Privacy and Security: We use a secure, HIPAA-compliant platform for telehealth communications. However, you must also play a role in maintaining privacy on your end. You should participate in telehealth sessions in a private setting, not in public where others can overhear. All telehealth sessions are confidential and will be conducted in accordance with our Privacy Policy and applicable law.
● Follow-Up Care: You will have opportunities to ask questions during the telehealth session. If you have follow-up questions or experience any issues after the session, you should contact us through the patient portal or by phone. We ensure that patients have a method to contact the provider or clinic with concerns about any prescription or treatment provided via telehealth.
By using our telehealth services, you agree to these terms and confirm that you understand the scope and limitations of telehealth. We may require you to sign a separate telehealth specific consent form before your first telemedicine appointment, in compliance with state laws.
Medical Disclaimers
No Medical Advice via Website: The content on our website (including articles, blog posts, service descriptions, FAQs, and any other information publicly available) is provided for general informational and educational purposes only. While we strive to provide accurate and up-to-date information, nothing on our website should be considered medical advice or a substitute for a consultation with a qualified healthcare professional. Viewing our website or communicating with us outside of a formal provider-patient relationship does not create a doctor-patient relationship. Do not disregard professional medical advice or delay seeking it because of something you have read on our site. Always consult your personal physician or healthcare provider about any health concerns.
Not a Substitute for Primary Care or Emergency Care: Slim Wellness Center focuses on weight management, wellness treatments, and related healthcare services. We are not a primary care clinic and our services are not intended to replace your relationship with a primary care physician. We encourage you to maintain a primary care provider for general health needs and routine screenings. Furthermore, as noted above, we do not provide emergency medical services. If you experience a medical emergency or any symptom that requires urgent attention, call 911 or go to an emergency facility immediately. Our clinic can provide certain acute treatments (as determined by our providers) but is not equipped as an emergency room.
Results Not Guaranteed: While we have a strong track record of helping patients achieve positive outcomes (such as weight loss or improved wellness), we cannot guarantee any specific results. Every patient is different, and the success of treatments like weight loss programs, hormone therapy, or other wellness services depends on many factors including individual physiology and compliance with recommendations. Any testimonials or examples on our website are illustrative and may not reflect your individual results. You acknowledge that no outcome is promised or assured and that your use of our services is not contingent on any guaranteed result.
Medical Liability and Provider-Patient Relationship: All medical treatments and advice given to you when you are a patient of Slim Wellness Center are provided by licensed healthcare professionals in accordance with their professional judgment. This Terms of Service governs your use of the website and our services generally, but it is not intended to override the informed consent and other documentation you will review and sign when receiving medical treatment. In the event of any conflict between these Terms and a specific medical consent form or agreement you sign at the time of treatment, the specific consent or agreement will control for the medical procedure or treatment to which it relates.
Service Availability and Modifications
Slim Wellness Center strives to keep its website, patient portal, and services available and running smoothly. However, we do not guarantee that our website or services will be available at all times or without interruption. There may be occasions when the website or certain services are temporarily unavailable due to maintenance, updates, technical issues, or for other reasons. You acknowledge that access to the website and services may be affected by factors outside of our control (such as network outages or other technical problems), and we are not liable for any inability to access the services or any delays or failures in performance beyond our reasonable control.
We also reserve the right to modify, suspend, or discontinue any part of our services or the website (including the availability of any feature, database, or content) at any time, with or without notice. Intellectual Property
All content and materials on the Slim Wellness Center website, including text, graphics, logos, images, audio clips, video, software, and design (collectively, the "Content"), are the property of Slim Wellness Center or its licensors and are protected by copyright, trademark, and other intellectual property laws. Slim Wellness Center™ and our logos, slogans, and service names are trademarks or service marks owned by us. You are not granted any license or right to use any of our trademarks or Content without our express written permission.
● Permitted Use: You may access and use the website Content solely for your personal, non-commercial use (for example, to learn about our services or to engage with us as a patient). Any other use, including copying, modifying, distributing, publicly displaying, or creating derivative works of our Content, is strictly prohibited without prior written consent from Slim Wellness Center.

Limitation of Liability
To the fullest extent permitted by applicable law, Slim Wellness Center and its owners, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or exemplary damages (including, but not limited to, damages for loss of profits, loss of data, personal injury, pain and suffering, emotional distress, or similar harm) arising out of or in connection with your use of our website or services, even if we have been advised of the possibility of such damages.
In particular, Slim Wellness Center shall not be liable for:
● Any injury, loss, or damage resulting from the use of any services or products obtained through our clinic, except to the extent such liability is not waivable under law. (We do not exclude or limit our liability for gross negligence, willful misconduct, or any other liability that cannot be limited under California law or other applicable law.)
● Any delay, failure, or disruption of service (such as unavailability of the website, or a provider being unable to perform a scheduled appointment) due to circumstances beyond our reasonable control (for example, internet outages, power failures, technical issues, or acts of God).
● Unauthorized access to or use of our secure servers and/or any and all personal information stored therein, unless caused by our failure to implement reasonable security measures.
Maximum Liability: In any event, our total liability to you for any claims arising from or related to our services or these Terms will be limited to the amount you paid to Slim Wellness Center for the specific service or product at issue, or $500, whichever is greater. If the claim does not relate to a specific product or service (for example, a claim arising from the use of the website in general), our total liability shall be limited to $500. This limitation applies collectively to all of your claims, and it shall apply whether the cause of action is in contract, tort (including negligence), strict liability, or any other legal theory.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.
Dispute Resolution and Governing Law
We hope to resolve any disagreements or concerns you might have amicably. If you have a dispute with Slim Wellness Center, you agree to first contact us and attempt to resolve the issue informally. If we are unable to resolve a dispute informally, the following terms apply:
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, or interpretation thereof, or to the use of our services, shall be resolved by final and binding arbitration rather than in court, except for matters that may be brought in small claims court. You and Slim Wellness Center agree that the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and applicable federal arbitration law apply to this agreement. You are thus waiving your right to a trial by jury and to participate in any class action for such disputes. The arbitration will be administered by a recognized arbitration organization (such as the American Arbitration Association, "AAA") under the applicable rules (e.g., the AAA Consumer Arbitration Rules), and will take place in San Diego County, California, unless otherwise required by law. The arbitrator shall have the authority to award any relief that a court could grant, including individual injunctive relief, and the arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.
Class Action Waiver: All claims and disputes must be arbitrated or litigated on an individual basis only, and not on a class, collective, or representative basis. You expressly waive any ability to bring or participate in class or collective actions. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found unenforceable, then the entirety of the binding arbitration provision above shall be null and void, but the rest of these Terms will remain in effect.
Exceptions: Notwithstanding the foregoing, either party may seek emergency equitable relief (such as a temporary restraining order or preliminary injunction) in a court of law to prevent an imminent or ongoing violation of these Terms that would cause irreparable harm. Also, disputes relating to intellectual property rights or claims of unauthorized use of the website or services may, at the election of the party seeking relief, be resolved in court rather than arbitration.
Governing Law: These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. Subject to the arbitration agreement above, you agree that any judicial proceedings (if necessary and permitted under these Terms) will be brought in the state or federal courts located in San Diego County, California, and you consent to venue and personal jurisdiction in such courts.
Time Limits: You agree that any claim or cause of action arising out of your use of the services or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred. (This time limit does not apply to any claims for personal injury or under consumer protection laws to the extent such limitation would be prohibited by law.)
Indemnification
You agree to indemnify, defend, and hold harmless Slim Wellness Center, its affiliates, and each of their respective owners, directors, officers, employees, contractors, and agents, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the website or services in violation of these Terms; (b) any breach by you of any provision of these Terms or of any representation or warranty you provide herein; (c) your violation of any law or regulation or the rights of any third party in connection with your use of the services; or (d) any content or information that you provide to us (to the extent such content infringes or misappropriates third-party rights or is otherwise unlawful). We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense of such claim). This indemnification obligation will survive termination of your use of services and this agreement.
Changes to these Terms
Slim Wellness Center may update or modify these Terms of Service from time to time. If we make material changes, we will notify users by updating the "Effective Date" at the end of this document and, if the changes are significant, by providing a notice on our website or via email. It is your responsibility to review these Terms periodically for updates. Your continued use of our website or services after any changes to the Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using our services and website.
Miscellaneous Provisions
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. Entire Agreement: These Terms (together with any other agreements or policies expressly incorporated by reference, including our Privacy Policy and any informed consent or financial agreement you sign in the course of receiving services) constitute the entire agreement between you and Slim Wellness Center regarding the use of our website and services. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter.
Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate, successor, or acquirer of Slim Wellness Center (for example, if the business is sold or undergoes a corporate transaction), or to any entity involved in operating our services.
Relationship: Nothing in these Terms shall be construed to create any joint venture, partnership, employment, or agency relationship between you and Slim Wellness Center. You are an independent individual using services, and no provider-patient relationship exists except as explicitly established when you engage our medical services under the applicable standards of care.
No Third-Party Beneficiaries: These Terms are for the benefit of you and Slim Wellness Center (and our respective successors and assigns). Except as otherwise provided herein, no third party shall have any rights to enforce any term of this agreement.
